These Terms of Service (the "Terms") are between you and wrxstack ("wrxstack", "we", "us"), and govern your access to and use of the wrxstack website, the free tier, and the self-service paid plans (the "Service"). wrxstack is an independent product operated by the individual who runs it. If you have signed a separate written agreement with wrxstack, that agreement governs the Service to the extent of any conflict with these Terms.
1. Acceptance
By creating an account, accessing the Service, or clicking "I agree," you accept these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, you may not use the Service.
2. Account registration
You must be at least 16 years old and able to form a legally binding contract. You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at contact@wrxstack.com of any suspected unauthorized access.
3. Subscriptions, fees & billing
Self-service subscriptions are billed in advance on a monthly or annual cycle and renew automatically until cancelled. Fees are those shown in the product at the time of purchase, as also referenced at /pricing. Fees are exclusive of taxes; you are responsible for applicable sales, use, VAT, GST, and similar taxes. We may change pricing on at least 30 days' notice for the next renewal term; current term pricing will not change. All fees are non-refundable except as expressly stated or required by law.
4. Free tier & trials
The free tier is provided at no charge and includes a monthly allowance of Assistant actions and limited storage, as described in the product. We may modify, restrict, or discontinue free-tier features at any time. Trials of paid features convert to paid subscriptions at the end of the trial period unless cancelled in-app.
5. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated by reference. Violations may result in suspension or termination.
6. Intellectual property
The Service, including its software, designs, models, documentation, trademarks, and all related intellectual property, is owned by wrxstack or its licensors. Subject to these Terms and your timely payment of fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the subscription term, solely for your internal business purposes. All rights not expressly granted are reserved.
7. Customer Content
You retain all right, title, and interest in content you submit, upload, or generate through the Service ("Customer Content"). You grant wrxstack a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, copy, and modify Customer Content solely to provide the Service, to prevent and address abuse and security issues, and as you direct (for example, by configuring sharing or integrations). We do not use Customer Content to train models, see Section 8.
8. AI output and model training
The Service includes AI features that generate text, summaries, suggestions, actions, and other outputs (collectively, "AI Output"). As between you and wrxstack, you own the AI Output generated from your prompts and Customer Content; however, AI Output may be similar or identical to outputs generated for other users from similar prompts, and ownership claims may be limited by applicable law. We make no representation that AI Output is original, accurate, or free from third-party rights. You are responsible for reviewing AI Output before relying on it for any consequential decision.
We do not use Customer Content or AI Output to train any model. Customer Content sent to a model provider for inference is transmitted under that provider's API terms, which prohibit using the content to train models.
9. Feedback
If you choose to give us feedback, suggestions, or ideas about the Service, you grant wrxstack a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without restriction or compensation to you.
10. Third-party integrations
The Service can integrate with third-party products. Your use of third-party products is governed by the third party's terms, and wrxstack is not responsible for those products. We may suspend integrations that compromise security or violate third-party terms.
11. Disclaimers
EXCEPT AS EXPRESSLY STATED IN A WRITTEN AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND WRXSTACK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WRXSTACK'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU USE ONLY THE FREE TIER.
13. Indemnification
You will defend, indemnify, and hold harmless wrxstack and its officers, directors, employees, and agents from and against any third-party claim arising out of or related to (a) your violation of these Terms, (b) your Customer Content, or (c) your use of the Service in violation of law or third-party rights.
14. Termination & survival
You may cancel your subscription at any time from your account settings. We may suspend or terminate your access for breach of these Terms, for non-payment, or to comply with law. On termination, your right to use the Service ends and we will delete Customer Content as described in our DPA. Sections that by their nature should survive termination (including IP, disclaimers, limitations of liability, and indemnification) will survive.
15. Modifications
We may update these Terms from time to time. For material changes we will provide at least 30 days' prior notice via the Service or by email. Continued use after the effective date constitutes acceptance. If you object to a change, your sole remedy is to stop using the Service and cancel your subscription.
16. Disputes
If a dispute arises, please contact us first at contact@wrxstack.com so we can try to resolve it informally. We will make a good-faith effort to work through any concern with you before either party pursues other remedies.

The operator is the individual who runs wrxstack and can be reached at contact@wrxstack.com.
18. Notices
We will deliver notices to you through the Service or by email to the address on file. You will deliver notices to us at contact@wrxstack.com.
19. Miscellaneous
These Terms, together with any documents incorporated by reference, are the entire agreement between you and wrxstack regarding the Service and supersede all prior or contemporaneous communications. If any provision is held unenforceable, the remaining provisions will remain in effect. We may assign these Terms in connection with a transfer of the Service; you may not assign without our prior written consent. Our failure to enforce any provision is not a waiver. There are no third-party beneficiaries.
